MEB MisterEasyBusiness - General Terms and Conditions - Information for Customers

Key Terms:

  • For products with normal delivery times (Fast Digital) or SuperValue, the customer must specify separately (in an additional information field or otherwise in writing) if the delivery needs to be ready at a specific time. For Rush deliveries (Same Day or 24H), we automatically assume strict adherence to the time. We strive to manufacture products with normal delivery times on time, but without additional information about the urgency of the delivery time, we reserve the right to deliver the products on the same day with a reasonable delay. Our services are closed on Sundays, therefore Sundays are not counted as production days when calculating delivery times.
  • In situations where the customer intends to pay for the order upon pickup, MEB MisterEasyBusiness reserves the right to invoice uncollected completed orders 14 days after the order has been completed and notified to the customer.
  • MEB MisterEasyBusiness is not liable for incorrect information provided by the customer, such as typographical errors or the use of RGB colours in printable files. However, MEB MisterEasyBusiness endeavours to correct certain technical issues in erroneous files, such as the lack of bleed or incorrect size.
  • MEB MisterEasyBusiness is not responsible for the orders outside of the regular product range. For example, the engraving quality on a customer’s own product is unpredictable but it will be done as well as possible.
  • MEB MisterEasyBusiness offers a 100% satisfaction guarantee for all self-manufactured products (business cards, flyers, cards, brochures, envelopes, posters, document printing, stickers, signs and plates, roll-ups, mugs, puzzles, mouse pads, and passport photos). For other products, complaints are handled in collaboration with subcontractors to determine if the product is defective. Products will be remanufactured or exchanged for a similar item. Refunds will not be issued without proof that the replacement product does not meet the customer's needs, such as due to scheduling reasons.
  • Print products are manufactured with care, but digital printers and cutters have a margin of error of approximately 1mm. Consequently, especially in two-sided products, it is possible that not all items in a batch will have the exact same alignment. We do not recommend using solid borders in designs because the margin of error may make it easier to see if the print is slightly off-centre. We cannot guarantee alignment of centered objects on the final product with more than a 1 mm margin of error.
  • Registered loyal customers receive a 10% discount on products ordered online. The maximum discount is €50 per order. Discounts do not apply to Rush production charges, service fees, design services, or other services.
  • Design services are charged based on the time spent, without exceptions. The customer commits to paying for design services, even if they later cancel the order for the printed product.
  • When invoicing companies, payment management is handled by Ropo Capital. The standard payment term is net 14 days. Ropo Capital charges a reminder fee of 15€ for the first reminder letter (sent within one week after the due date). For more information on payment management, visit: https://www.ropocapital.fi/.

A. MEB MisterEasyBusiness - General Terms and Conditions

I. General - Application of Terms and Conditions

The following terms and conditions of MEB MisterEasyBusiness (hereinafter "Terms and Conditions") apply to every transaction between MEB MisterEasyBusiness and its customers. The Terms and Conditions also apply to all future transactions without the need for separate agreements on the application of these terms. Any terms and conditions contrary to or deviating from our Terms and Conditions will not be applied unless expressly accepted by MEB MisterEasyBusiness prior to the conclusion of the agreement, in which case they will apply only to that specific agreement. The Terms and Conditions of MEB MisterEasyBusiness will also apply if MEB MisterEasyBusiness has unconditionally accepted the transaction while being aware of terms contrary to or deviating from our Terms and Conditions.

II. Communication with the Customer

The customer must provide an email address at the time of placing the order, ensuring its functionality throughout the entire order process. The customer must particularly ensure their spam filter settings allow for all emails from MEB MisterEasyBusiness to be received. This email address will also be valid for any future orders unless it is changed.

MEB MisterEasyBusiness is authorised, but not obligated, to send messages - including those critical to the cooperation agreement and its proper implementation - by means other than email. The customer cannot demand that messages be sent via telephone, mail, fax, or other alternative methods (telecommunication systems, e.g., SMS). The customer cannot claim ignorance if they do not receive messages by these methods due to their unavailability, provided MEB MisterEasyBusiness has sent the message via email as specified in paragraph 1.

Messages sent by MEB MisterEasyBusiness to the customer via email, as stated in paragraph 1, are presumed to be received once sent. MEB MisterEasyBusiness is responsible for errors in message transmission only if it can be proven that the error occurred during MEB MisterEasyBusiness’s transmission. The customer is permitted to provide evidence that the failure to receive a message was not due to their own actions.

MEB MisterEasyBusiness is not required to demonstrate that the customer's email address is missing, incorrect, or unable to receive messages, as mentioned in paragraph 1. However, the customer may provide evidence that such a message could have been technically received and was necessary/important for them.

III. Ordering and Formation of the Contract

By placing an order, the customer offers to enter into a contract with MEB MisterEasyBusiness and agrees to the current Terms and Conditions of MEB MisterEasyBusiness. A mutually binding contract is established once the customer receives an order confirmation email from MEB MisterEasyBusiness. If the delivery address provided by the customer differs from their own address, the contract is nevertheless concluded with the customer. If the customer places an order on behalf of a third party, the contract with the third party will only be established if the customer has provided MEB MisterEasyBusiness with a power of attorney and MEB MisterEasyBusiness has expressly confirmed acceptance of the contract with the third party. In all other cases, a delivery address differing from the customer's own address holds no legal significance for the formation of the contract. MEB MisterEasyBusiness reserves the right to refuse to accept orders and to terminate contracts if the content of the print material is pornographic, racist, or otherwise illegal.

IV. Credit and Personal Information

The customer agrees that MEB MisterEasyBusiness may check the customer's credit information and process the customer's personal data in accordance with applicable law to the extent necessary for the operations of MEB MisterEasyBusiness. The privacy statement as required by Section 10 of the Personal Data Act (523/22.4.1999) can be found under the privacy statement section.

V. Prices and Invoicing

The prices indicated by MEB MisterEasyBusiness include packaging, a single delivery to the delivery address specified by the customer using the chosen delivery method, and the applicable VAT, unless otherwise stated in the order confirmation. These prices are based on the assumption that the order details provided by the customer at the time of order placement do not change after the contract is concluded. Any subsequent changes due to the customer will be billed separately.

When placing an order, the customer commits to the selected payment method. For individual customers ordering remotely, the options are to pay via the PayTrail payment service using online banking credentials, credit or debit card, or to use Jousto invoice. For business customers ordering remotely, the options are to pay online via the PayTrail payment service using online banking credentials, credit or debit card, or to use Jousto invoice, in which case the invoice will be billed to an individual. MEB MisterEasyBusiness is not responsible for errors made by the PayTrail system. Business customers can also choose to receive an invoice for the company, in which case the ordering company is the billed customer. Business customers can also pay for the order when picking up products from the MEB store. Uncollected orders will be invoiced through a billing service 14 days after the order is completed and the customer has been notified. The payment terms for invoices are 14 days net, unless otherwise agreed. MEB MisterEasyBusiness sends invoices to companies through the Ropo Capital billing service. VI. Delivery Time

The indicated delivery times are target estimates and apply only to deliveries to addresses located in Finland. The delivery time begins on the business day following the sending of the order confirmation, provided all necessary information for the printing job has been received by 10:00 AM. The order will only be processed once a binding payment method has been selected. The delivery time is specified in business days, which are Monday through Friday, excluding public holidays. The delivery time is considered met if the goods have left the factory within the specified delivery time or, if delivery readiness is crucial, if the readiness for delivery has been communicated. This is contingent on the timely and accurate deliveries from MEB MisterEasyBusiness's subcontractors and the customer fulfilling their obligations completely and on time. If MEB MisterEasyBusiness does not adhere to the agreed delivery time, the customer must provide a reasonable written deadline for the delivery to be completed. If the delivery is not completed within the customer's specified reasonable time frame, the customer has the right to terminate the contract. MEB MisterEasyBusiness is not liable for delays in performance or delivery if the delay is caused by force majeure events beyond MEB MisterEasyBusiness's control (especially strikes, lockouts, government orders, and other similar unforeseen events) that have a significant impact on the manufacturing and delivery of the goods. This also applies if such obstacles affect MEB MisterEasyBusiness's subcontractors or their subcontractors. In such cases, MEB MisterEasyBusiness is entitled to postpone the production and/or delivery for the duration of the obstacle, including a reasonable startup time. MEB MisterEasyBusiness may also terminate the contract entirely or the unfulfilled part of it. If it is impossible for MEB MisterEasyBusiness to fulfil the performance, they are released from the obligation to perform. MEB MisterEasyBusiness will inform the customer of the obstacle without delay.

VII. Transfer of Risk

If the customer is a business entity, the risk of damage or loss of the goods passes to the customer when the goods are handed over to the carrier or shipping agent, but at the latest when the goods leave the factory. This applies regardless of who pays for the delivery and even if the delivery is carried out by MEB MisterEasyBusiness's own staff. If the customer is a business entity and the delivery or receipt of ready-to-ship goods is delayed for reasons beyond MEB MisterEasyBusiness's control, the risk passes to the customer once they have been notified of the readiness for delivery. If the customer is a consumer, the risk of damage or loss of the goods passes to the customer when the goods are handed over to them or at the moment when the handover is delayed due to reasons attributable to the customer. At the customer's request and expense, MEB MisterEasyBusiness can arrange for transport insurance to cover the risk of damage or loss of the goods, if possible.

VIII. Printing Details, Inspection Obligation

MEB MisterEasyBusiness executes all print orders solely based on the print data provided by the customer. This data must be submitted only in the format and specifications indicated on the Technical Information page and in the product-specific file instructions. If the formats or specifications deviate from these, error-free printing is not guaranteed. The customer is obligated to carefully verify that the data they provide is suitable for the product's printing before submitting it to MEB MisterEasyBusiness. MEB MisterEasyBusiness does not check this data. The customer is solely responsible for printing errors resulting from incorrect data. At the express request of the customer, MEB MisterEasyBusiness will print other formats within their technical capabilities. MEB MisterEasyBusiness is not responsible for errors resulting from converting materials to formats that MEB MisterEasyBusiness can process. The customer accepts that any errors resulting from such conversions are their responsibility. If the data is not provided in CMYK format, MEB MisterEasyBusiness can still print the file. However, converting RGB files or ICC colours will alter their original colour. The customer is solely responsible for such colour changes. If the customer provides data in a format other than CMYK, they accept that the risk of conversion is solely theirs. Typographical errors and other content-related errors are also the customer's responsibility.

IX. Complaints

Any defects in the delivered goods must be reported immediately, but no later than two (2) weeks after delivery. Complaints based on the customer's failure to comply with the print data format requirements cannot be accepted. This particularly applies to print products based on RGB colours, where the accuracy is insufficient or texts have not been processed correctly. Minor colour deviations or colour deviations from previous orders are not considered defects.

X. Liability for defects

If the delivered product is defective or lacks an agreed-upon feature, MEB MisterEasyBusiness will decide whether to replace the product with a new delivery or correct the defect. If MEB MisterEasyBusiness does not comply with a reasonable deadline set by the customer to perform this and does not deliver a replacement product or correct the defect, or if the correction fails, the customer may either terminate the contract or request a price reduction. The customer may not make any other claims. MEB MisterEasyBusiness is liable for the replacement product and corrections in the same manner as the original deliveries. If the product or delivery is partially defective, only the defective parts can be subject to a complaint. The customer's claims expire after one year, unless mandatory legislation provides otherwise.

XI. Liability for Compensation

MEB MisterEasyBusiness is liable only for damages based on gross negligence or intent. In other cases, MEB MisterEasyBusiness is not liable for damages other than those directly related to the product, especially not for lost profits or other consequential damages incurred by the customer. For negligent or intentional personal injury, MEB MisterEasyBusiness is liable according to mandatory legal provisions. To the same extent that MEB MisterEasyBusiness excludes liability, this exclusion also applies to its employees, representatives, subcontractors, and other assistants.

XII. Ownership, Archiving, and Copyright

MEB MisterEasyBusiness's printing tools prepared for or used in fulfilling orders are the property of MEB MisterEasyBusiness. Digital data and other reusable materials, as well as semi-finished and finished products, are not stored beyond the delivery period and are not delivered to the customer. MEB MisterEasyBusiness's products are manufactured according to the information provided by the customer, but MEB MisterEasyBusiness may make minor technical adjustments without consulting the customer, provided that these adjustments do not alter the essential content of the product. The customer guarantees that they have all rights to utilise, transfer, and publish the data, texts, and images provided. The customer is solely responsible for ensuring that the rights of third parties are not violated and that the printed materials comply with applicable laws. The customer releases MEB MisterEasyBusiness from liability in the event that third parties make claims related to infringement of rights, especially copyright infringement.

XIII. Retention of Ownership

MEB MisterEasyBusiness retains ownership of all products delivered until the purchase price under the respective contract is fully paid. If the customer is a business entity, ownership is retained until all debts owed to MEB MisterEasyBusiness in the business relationship between the parties are fully settled. However, the customer has the right to sell and transfer the products to their own customers or third parties. By accepting MEB MisterEasyBusiness's Terms and Conditions, the customer assigns their receivables from such sales, including value-added tax, to MEB MisterEasyBusiness as security for its claims. MEB MisterEasyBusiness accepts the assignment and is entitled to collect the receivables itself. Nevertheless, MEB MisterEasyBusiness will not undertake debt collection procedures if the customer collects and uses the receivables to fulfill their payment obligations, and no payment delays, insolvency proceedings, bankruptcy, or corporate reorganisation have been initiated. In other cases, MEB MisterEasyBusiness has the right to collect the assigned receivables for itself, and the customer is obliged to provide all necessary commercial and debtor information, including documents, to MEB MisterEasyBusiness, and to notify the debtor that the receivable has been assigned and must be paid to MEB MisterEasyBusiness. In case of payment delays, MEB MisterEasyBusiness has the right not to use the agreed direct debit. Upon the customer's request, MEB MisterEasyBusiness releases the security if the amount of the security exceeds the receivables including value-added tax by more than 20%. If the customer breaches the contract or fails to fulfill their payment obligations, MEB MisterEasyBusiness has the right to take back its products, and the customer must return the products. The repossession does not imply termination of the contract unless otherwise stated by MEB MisterEasyBusiness.

XIV. Due Date of Payments, Set-Off, Right of Retention

MEB MisterEasyBusiness invoices the total purchase price (including value-added tax) for an order immediately upon the formation of the contract (receipt of order confirmation), unless otherwise specified in the order confirmation. The customer is responsible for any bank charges incurred. The customer may only set off their obligations with undisputed or legally enforceable counterclaims. The customer has the right to withhold payment only if they have a counterclaim arising from the same contract.

XV. Applicable Law, Jurisdiction, Invalidity of Contract

MEB MisterEasyBusiness's terms and conditions and all legal relationships between MEB MisterEasyBusiness and the customer are governed by Finnish law. Unless mandatory legislation provides otherwise, the competent court for any disputes shall be the court of MEB MisterEasyBusiness's domicile. However, MEB MisterEasyBusiness reserves the right to bring an action against the customer in any other competent court. Partial invalidity or unenforceability of the terms and conditions or any other agreed terms between the parties does not affect the validity or enforceability of the remaining terms and conditions or agreements.

II. Information about the processing of personal data

MEB MisterEasyBusiness uses the personal data provided by you (such as name, address, contact information) and your selected payment details to fulfil the contract and deliver the goods. Entities responsible for transportation will receive necessary information for shipping purposes.

If you have consented, we may also use your information for targeted advertising of new products or changes in our product range. You may withdraw your consent at any time. You also have the right to review the information we have registered about you, and if necessary, request changes or deletion from the registry. There are no costs associated with this other than those you incur to your service provider for sending the email. We comply with the Personal Data Act (523/22.4.1999). III. Formation of Contract

The contract between you and MEB MisterEasyBusiness is formed when the order is confirmed. The order is placed by selecting and adding the product to your shopping cart. Once the necessary products are in the shopping cart, you proceed to the checkout page. On the checkout page, you fill in your personal details in the provided forms. After verifying all the information, you choose the delivery and payment method and accept the terms of the order. Depending on the payment method chosen, payment is made as directed on the website. After payment, the contract is formed when we accept your order and send you an order confirmation via email.

IV. Payment, Performance of Contract, and Delivery

You can determine the details regarding payment, delivery, and fulfilment by choosing your preferred payment and delivery method. Delivery will occur according to the specified schedule for each product. Notification of order completion will be provided only after all products are ready. This means that for products with shorter delivery times, notification of completion will occur only after the product with the longest delivery time has been completed. We deliver only to addresses within Finland.

V. Information on the right of withdrawal

MEB MisterEasyBusiness sells only print products manufactured according to the customer's provided information and materials. Therefore, this does not constitute distance or other consumer sales subject to the Consumer Protection Act (20.1.1978/38). There is no statutory right to cancel a transaction made with MEB MisterEasyBusiness.

VI. Liability for Defects and Warranty

The products must be inspected promptly upon receipt to ascertain any visible defects in the delivery. If defects are found, they must be immediately reported to MEB MisterEasyBusiness in writing or by email to info@meb.fi. MEB MisterEasyBusiness is responsible for defects in accordance with the terms of the agreement and mandatory law; no warranty is provided.
